Terms & Conditions

These terms govern your use of Bidly (the “Platform”), operated by SpaceCode Studios (“Bidly”, “we”, “us”) from Pretoria, South Africa. By creating an account, posting a project, submitting a bid or otherwise using the Platform you agree to these terms.

1. Acceptance & eligibility

You must be at least 18 years old and able to enter into a binding contract under the laws of your country. If you use the Platform on behalf of a company, you confirm that you have authority to bind that company to these terms.

2. The role of the Platform

Bidly is a marketplace that connects clients (people posting projects) with contractors (people bidding on projects). Bidly is not a party to any contract entered into between a client and a contractor and is not a contractor, agent, broker, insurer, escrow agent or representative of either party. We do not perform construction or service work, do not supervise it, and do not guarantee its quality, timing, legality or outcome.

Any contract for work is between the client and the contractor. You are responsible for satisfying yourself that the other party is suitable before engaging them.

3. Accounts

  • You agree to provide accurate, current information when registering and to keep it up to date.
  • You are responsible for activity that takes place under your account and for keeping your credentials secure.
  • You may close your account at any time. We may suspend or terminate accounts that breach these terms or that we reasonably believe pose a risk to other users.

4. Posting projects & submitting bids

  • Clients must describe projects honestly and may not use the Platform to solicit work that is illegal, unsafe or outside the scope of construction and related services.
  • Contractors must hold the licences, permits, insurance and qualifications required by law for the work they bid on, and must be able to perform the work they offer.
  • Bids are offers between the parties. Awarding a bid creates a contract directly between the client and the contractor.

5. Prohibited conduct

You may not:

  • Post false, misleading, defamatory, infringing or unlawful content.
  • Circumvent the Platform to avoid fees, evade verification, or contact other users for purposes unrelated to a posted project.
  • Harass, abuse or discriminate against other users or our staff.
  • Scrape, reverse-engineer or interfere with the operation or security of the Platform.
  • Use the Platform for money laundering, sanctioned activity or any other unlawful purpose.

6. Fees & subscriptions

Some Platform features require a paid subscription. Pricing, billing cycle and features are described at the point of purchase. Subscriptions renew automatically until cancelled. Refunds are governed by our Refund Policy.

We may change pricing for future billing periods on reasonable notice. Continuing your subscription after the change takes effect constitutes acceptance of the new pricing.

7. Intellectual property

The Platform, including its design, code and trademarks, is owned by SpaceCode Studios and is protected by intellectual property law. You retain ownership of content you post (project briefs, bids, profile information) and grant Bidly a worldwide, royalty-free licence to host, display and use that content for the purpose of operating and promoting the Platform.

8. Disclaimers

The Platform is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, Bidly does not warrant that the Platform will be uninterrupted, error-free or secure, and disclaims all implied warranties. We make no representation about contractors, clients, or the suitability of any bid or project posted on the Platform.

9. Limitation of liability

To the maximum extent permitted by law, Bidly is not liable for indirect, incidental, special, consequential or punitive damages, loss of profit, loss of data or business interruption arising from your use of the Platform. Our total aggregate liability under or in connection with these terms is limited to the amount you have paid to Bidly in the twelve (12) months preceding the event giving rise to the claim. Nothing in this clause limits liability that cannot be limited by law (including under the Consumer Protection Act, 2008 where it applies).

10. Indemnity

You agree to indemnify Bidly against claims, losses and costs arising from your breach of these terms, your content, your conduct on the Platform, or your engagement with another user outside the Platform.

11. Suspension & termination

We may suspend or terminate your access to the Platform with or without notice if you breach these terms, if required by law, or to protect the integrity of the Platform. You may stop using the Platform at any time.

12. Changes to these terms

We may update these terms from time to time. The “Last updated” date at the top of the page reflects the current version. Material changes will be communicated to active users by email or via the Platform. Continued use after the changes take effect constitutes acceptance.

13. Governing law & jurisdiction

These terms are governed by the laws of the Republic of South Africa. The parties consent to the non-exclusive jurisdiction of the South African courts in respect of any dispute arising from these terms. Nothing in this clause limits any right you have to approach a regulator (such as the National Consumer Commission) where the Consumer Protection Act applies.
